Welcome to Mitra Tender ("Platform", "we", "us", "our").
These Terms and Conditions ("Terms") govern your access to and use of the Mitra Tender website, mobile/web applications, AI-powered tools, APIs, dashboards, and all related services. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
GENERAL PROVISIONS
1. INTRODUCTION Mitra Tender is an AI-powered tender aggregation and intelligence platform that helps users discover, analyze, and manage government and private tender opportunities. It provides data aggregation, document parsing, eligibility insights, bid assistance, personalized recommendations, and alerts.
2. ACCEPTANCE OF TERMS By registering, logging in, or using any part of the Platform, you confirm that you have read, understood, and accept these Terms, our Privacy Policy, and any additional guidelines. These documents form a legally binding agreement between you and Mitra Tender.
3. ELIGIBILITY You must be at least 18 years old and legally capable of entering into contracts. By using the Platform, you represent and warrant that you meet these eligibility criteria. The Platform is not intended for users under 18.
4. ACCOUNT REGISTRATION To access full features, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account. Notify us immediately of any unauthorized use.
5. USER RESPONSIBILITIES You agree to:
- Provide true, accurate, and up-to-date information
- Use the Platform only for lawful purposes
- Verify all tender information with official sources before acting
- Comply with all applicable laws, including tender submission rules and anti-corruption laws
6. PROHIBITED ACTIVITIES You shall not:
- Scrape, copy, or extract data from the Platform without authorization
- Resell, sublicense, or commercially exploit Platform data or services
- Reverse engineer, decompile, or attempt to access the source code or AI models
- Upload viruses, malware, or harmful code
- Engage in any activity that disrupts or interferes with the Platform
- Use the Platform to submit false or misleading bids
7. LICENSE GRANT We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes in accordance with these Terms.
8. INTELLECTUAL PROPERTY RIGHTS All rights in the Platform, including software, AI models, user interface, logos, databases, and generated content, are owned by Mitra Tender or its licensors. You acquire no ownership rights. Tender data rights remain with the original government or publishing authorities.
9. THIRD-PARTY CONTENT AND LINKS The Platform may contain links to external websites or government portals. We are not responsible for their content, accuracy, or privacy practices. Use them at your own risk.
10. PLATFORM AVAILABILITY The Platform is provided “as is” and “as available”. We do not guarantee uninterrupted access, complete tender coverage, or error-free operation.
SERVICE USAGE & AI TOOLS
11. SERVICE DESCRIPTION Mitra Tender offers tender search, AI document parsing, eligibility analysis, proposal assistance, chat-based support, alerts, and analytics.
12. AI TOOLS AND GENERATED CONTENT AI features (document parsing, summaries, proposals, recommendations) are provided as decision-support tools only. They are not a substitute for professional judgment. You remain fully responsible for reviewing, verifying, and using any AI-generated content.
13. ACCURACY DISCLAIMER All tender data, extracted information, and AI outputs are provided “as is”. We do not warrant their accuracy, completeness, timeliness, or suitability. You must always cross-verify with the official tender document or portal before making any bidding decision.
14. TENDER ALERTS AND NOTIFICATIONS Alerts are sent based on your preferences. We are not liable for missed alerts, delayed notifications, or any loss resulting from reliance on them.
15. USER UPLOADED CONTENT You retain ownership of documents you upload. By uploading, you grant us a worldwide, royalty-free license to process, analyze, store, and use them solely to provide the service (including AI parsing).
16. BID ASSISTANCE Any checklists, drafts, or strategies generated by the Platform are advisory. Final bid preparation, submission, and compliance are your sole responsibility.
17. SUBSCRIPTION PLANS We offer free and paid subscription plans. Paid plans provide additional features, higher limits, and priority support. Details of plans and pricing are available on the Platform and may change with notice.
18. BILLING AND PAYMENTS Subscriptions are billed in advance. You authorize us to charge your payment method. All fees are non-refundable except as required by law. Late payments may result in suspension of access.
19. TAXES You are responsible for all applicable taxes on your use of the Platform.
20. FREE TRIALS AND PROMOTIONS Free trials are subject to these Terms. We may terminate or modify trials at any time.
DATA, SECURITY & RESTRICTIONS
21. DATA USAGE We process your data as described in the Privacy Policy. By using the Platform, you consent to such processing where consent is required.
22. CONFIDENTIALITY You agree not to disclose any non-public information obtained through the Platform.
23. SECURITY You must keep your account secure. We are not responsible for losses due to your failure to maintain security.
24. API USAGE API access is subject to rate limits, authentication, and usage restrictions. Misuse may result in immediate termination of access.
25. RATE LIMITING We may impose limits on requests to prevent abuse.
26. SUSPENSION AND TERMINATION We may suspend or terminate your account without notice if you violate these Terms, engage in prohibited activities, or for legal reasons.
27. EFFECT OF TERMINATION Upon termination, your right to use the Platform ceases. We may delete your data subject to the Privacy Policy and legal requirements.
28. SURVIVAL Sections related to liability, intellectual property, indemnification, and governing law survive termination.
29. FORCE MAJEURE We are not liable for delays or failures due to events beyond our reasonable control (e.g., natural disasters, internet outages, government actions).
30. CHANGES TO THE PLATFORM We may modify, suspend, or discontinue features at any time with or without notice.
PAYMENTS, LIABILITY & LEGAL PROTECTION
31. REFUND POLICY Fees paid are generally non-refundable. Refunds may be issued only in exceptional cases at our sole discretion.
32. DISCLAIMER OF WARRANTIES The Platform and all services are provided “AS IS” without any warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
33. LIMITATION OF LIABILITY To the maximum extent permitted by law, our total liability shall not exceed the total amount paid by you in the twelve (12) months preceding the claim. We shall not be liable for any indirect, consequential, incidental, punitive, or special damages, including loss of profit, business opportunity, or tender rejection.
34. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Mitra Tender, its officers, directors, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of the Platform
- Violation of these Terms or applicable laws
- Your uploaded content or bids submitted
35. NO LEGAL OR FINANCIAL ADVICE The Platform does not provide legal, financial, taxation, or bidding advice. Consult qualified professionals for such matters.
36. COMPLIANCE WITH LAWS You are solely responsible for ensuring your use of the Platform and any bids comply with all applicable central, state, and local laws.
37. ANTI-CORRUPTION You represent that you will not use the Platform for any corrupt or illegal practices in tender processes.
38. ENTERPRISE CUSTOMERS Enterprise clients may enter into separate Master Service Agreements that supplement or override certain provisions of these Terms.
39. MODIFICATIONS TO TERMS We may update these Terms from time to time. Material changes will be notified via email or prominent notice on the Platform. Continued use after changes constitutes acceptance.
40. SEVERABILITY If any provision is held invalid, the remaining provisions remain in full force and effect.
DISPUTE RESOLUTION & GENERAL CLAUSES
41. GOVERNING LAW These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of laws principles.
42. JURISDICTION Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.
43. DISPUTE RESOLUTION Disputes shall first be attempted to be resolved through mutual discussion. Unresolved disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by us. The seat of arbitration shall be Delhi.
44. NOTICES All notices shall be in writing and sent to support@mitratender.com or to the email address associated with your account.
45. WAIVER Failure to enforce any right does not constitute a waiver of that right.
46. ASSIGNMENT You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
47. ENTIRE AGREEMENT These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mitra Tender.
48. LANGUAGE These Terms are made in the English language. In case of any translation, the English version shall prevail.
